Acteon provides a range of industry-leading products and services to support marine and subsea projects for the renewable, nearshore construction and oil and gas sectors across all phases of the lifecycle. We develop and engineer solutions and integrated services using data and knowledge-based insight across our customers' dynamic floating and fixed physical infrastructure.

Acteon are currently looking to hire a Company Secretary to join the team on a part time, permanent basis. Our ideal candidate will work 24 hours a week, with a preference of 5 days per week reduced hours, but we are also open to 3 full days per week.

The successful candidate will ideally be based in Norwich or London, but we are also open to other locations. The role will involve occasional travel. The Company Secretary will provide advice and support to manage CoSec and corporate governance matters across Acteon Group.

Central to the role will be engagement and interaction with stakeholders at all levels of the global organisation; strong inter-personal and influencing skills combined with a "team player" approach will be critical.

Responsibilities

  • A central requirement of the role will be building trusting relationships with all stakeholders but particularly the EVP Finance and Director, Tax & Corporate Structure as well as various individuals and directors within the Segments and Operating Companies (OpCos).
  • Managing and coordinating CoSec matters for all group companies including: share capital injections, share capital reductions, dividends, incorporation/dissolution of companies, incorporation/dissolution of other entities (i.e. branches, representative offices), director and officer changes, shareholder changes & powers of attorney
  • Liaising with external parties such as law firms, corporate service providers and notaries in multiple jurisdictions
  • Drafting board minutes, directors' written resolutions and members/shareholders' resolutions for UK companies
  • Drafting CoSec documentation for companies in other jurisdictions using approved templates
  • Liaising with internal directors and relevant stakeholders to obtain signatures on CoSec documentation
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
  • Developing and overseeing the CoSec systems and processes that ensure all companies comply with any applicable codes, in addition to their legal and statutory requirements
  • Managing and updating the corporate chart, database and associated files
  • Maintaining and developing the internal filing system for CoSec matters
  • Responding to know your customer (KYC) requests


Required

  • As a member of the Acteon Legal Team and reporting directly to one of the Group Legal Counsels, this role requires a commercially focused individual.
